Terms of Use

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Verse Digital GmbH ("HeadBox," "we," "us," or "our"), the operator of the HeadBox game platform ("Platform"). By creating an account, accessing the Platform, or otherwise using any services provided by HeadBox, you acknowledge that you have read, understood, and agree to be legally bound by these Terms in their entirety.

These Terms incorporate by reference our Privacy Policy and Cookie Policy, both of which are considered integral parts of this agreement. In the event of any conflict between these Terms and any supplemental policies, these Terms shall prevail unless explicitly stated otherwise.

HeadBox reserves the right to modify, update, or replace these Terms at any time at its sole discretion. Continued use of the Platform following any such changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically for updates.

To access and use the HeadBox Platform, you must meet all of the following eligibility requirements:

• You must be at least 18 years of age, or the age of majority in your jurisdiction, whichever is higher;
• You must be resident in, and accessing the Platform from, a jurisdiction in which use of the Platform is lawful;
• You must not be located in any jurisdiction where participation would be prohibited by applicable law or regulation;
• You must not be a current employee, contractor, officer, director, or immediate family member of Verse Digital GmbH or any affiliated entity;
• You must not have been previously banned, suspended, or had your account terminated by HeadBox for any reason.

By registering, you confirm the information you provide is accurate and complete, and that you will keep it up to date. HeadBox may suspend or terminate any account registered with inaccurate or misleading information.

You are responsible for keeping your credentials confidential and for all activity under your account, and must notify HeadBox immediately of any unauthorised use. HeadBox is not liable for loss resulting from your failure to do so.

Each individual may only register and maintain one (1) account on the Platform. Creation of multiple accounts, including for the purpose of circumventing restrictions or bans, is strictly prohibited and will result in permanent termination of all associated accounts.

Subject to your compliance with these Terms, HeadBox grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform solely for your personal, non-commercial entertainment purposes. This license does not include any right to:

• Reproduce, distribute, modify, create derivative works of, publicly display, or exploit any portion of the Platform or its content;
• Use any data mining, scraping, crawling, or similar automated data gathering or extraction tools;
• Access the Platform or its underlying systems through any automated means, including bots, scripts, or other programmatic methods;
• Frame, mirror, or otherwise incorporate any part of the Platform into any other website or application;
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code from the Platform.

HeadBox reserves the right at any time and without notice to modify, suspend, or discontinue the Platform or any portion thereof, with or without notice. You agree that HeadBox shall not be liable to you or any third party for any such modification, suspension, or discontinuance.

The Platform may link to third-party sites and services that HeadBox does not control and takes no responsibility for. Please read the terms and privacy policy of any third-party site you visit.

HeadBox is currently offered as an Early Access / Public Demo release. The Platform is a work in progress, made available so that players can try the game and help shape its development. It is not a finished product, and it is not a paid competitive platform.

By taking part in the Early Access period, you understand and accept that:

• Features may change. Game modes, mechanics, balance, systems, and interfaces may be added, altered, or removed at any time without notice;
• Content is still in development. Parts of the Platform may be incomplete, placeholder, or temporarily unavailable, and bugs, downtime, and performance issues are to be expected;
• Progress may be reset. Accounts, usernames, statistics, leaderboard standings, and in-game progress may be wiped in whole or in part between builds, and no progress is guaranteed to carry over into any future release;
• Community feedback shapes the game. Reports, suggestions, and feedback submitted during Early Access are actively used to guide development, on the terms set out in Section 7;
• Access is free. No payment is required to take part in the Early Access period, and the Platform does not currently offer paid entry or any form of monetary reward.

HeadBox may end, extend, suspend, or change the Early Access period at any time, and may introduce additional or replacement terms before any full release. Nothing in these Terms obliges HeadBox to release a finished version of the Platform.

You agree to use the HeadBox Platform in a manner consistent with all applicable laws, regulations, and these Terms. You are fully responsible for all content you post, submit, or transmit through the Platform, and for all actions taken under your account.

By using the Platform, you agree to conduct yourself in a sportsmanlike and respectful manner at all times. You agree that you will not:

• Harass, abuse, threaten, defame, or intimidate other users, employees, or representatives of HeadBox;
• Post or transmit any content that is unlawful, harmful, offensive, obscene, hateful, discriminatory, or otherwise objectionable;
• Share, sell, or transfer your account credentials to any third party;
• Misrepresent your identity or affiliation with any person or entity;
• Interfere with or disrupt the integrity or performance of the Platform or its servers;
• Use the Platform for any commercial purpose not expressly authorized by HeadBox in writing.

HeadBox may monitor activity on the Platform and respond to conduct that breaches these Terms or harms the Platform or its users — including removing content and suspending or terminating accounts.

The following activities are strictly prohibited on the HeadBox Platform and may result in immediate and permanent account termination and potential legal action:

• Cheating & Hacking: Use of any unauthorized software, scripts, bots, aimbots, exploits, or third-party tools that provide an unfair competitive advantage;
• Account Manipulation: Creating, buying, selling, or using multiple accounts; boosting accounts; or any form of account sharing;
• Fraud: Providing false identity information or misrepresenting your eligibility to use the Platform;
• Unauthorized Access: Attempting to access, probe, or test the vulnerability of the Platform's systems without explicit written authorization;
• Interference: Introducing viruses, malware, or any other malicious code to the Platform;
• Harassment: Engaging in sustained, targeted harassment or coordinated campaigns against other users or HeadBox staff;
• Misuse of Support: Filing false reports, abusing the dispute resolution process, or engaging in bad-faith communications with HeadBox support.

HeadBox employs advanced detection technologies and manual review processes to identify prohibited activities. Determinations of prohibited activity are made at HeadBox's sole discretion and are final subject to the dispute process in Section 12.

The Platform and everything in it — software, design, artwork, audio, video, and text (collectively, "Platform Content") — is the exclusive property of Verse Digital GmbH and its licensors, and is protected by copyright, trademark, and other intellectual property laws.

The HeadBox name, logo, and all related names, logos, product and service names, designs, and slogans are registered or unregistered trademarks of Verse Digital GmbH or its affiliates. You may not use such marks without the prior written consent of Verse Digital GmbH.

Feedback, suggestions, and ideas you send us about the Platform ("Feedback") become the property of HeadBox. You assign us all rights in that Feedback, and we may use it for any purpose without restriction or payment to you.

You are granted no intellectual property rights in the Platform or its content beyond the limited license expressly described in Section 3. Any unauthorized use of Platform Content may violate copyright, trademark, and other applicable laws and could result in civil or criminal penalties.

Your use of the HeadBox Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, storage, and processing of your personal data as described in our Privacy Policy.

HeadBox collects account information, gameplay data, and device information in connection with your use of the Platform. This data is used to operate, maintain, and improve the Platform, to communicate with users, and to meet legal obligations.

HeadBox takes reasonable technical and organisational measures to protect your personal data, but no internet transmission or storage system is entirely secure and absolute security cannot be guaranteed.

You have certain rights in relation to your personal data, including rights of access, rectification, erasure, and data portability, subject to applicable data protection laws. To exercise these rights, please contact our Data Protection Officer at the contact details provided in Section 15.

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by applicable law, HeadBox expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

HeadBox does not warrant that the Platform will be uninterrupted, error-free, or secure, that defects will be corrected, or that any content on the Platform is accurate or complete. This is especially relevant during Early Access.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HEADBOX, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR:

• Any indirect, incidental, special, consequential, exemplary, or punitive damages;
• Any loss of profits, revenue, data, goodwill, or business opportunities;
• Any damages resulting from interruption of access to the Platform;
• Any unauthorized access to or alteration of your account or data;
• Any conduct or content of any third party on or accessed through the Platform.

Where liability cannot be excluded by law, HeadBox's total aggregate liability to you for all claims arising out of or relating to your use of the Platform shall not exceed the greater of (a) the total amount, if any, you have paid to HeadBox in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred Euros (€100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability. The limitations above may not apply to you to the extent prohibited by applicable law.

You agree to defend, indemnify, and hold harmless HeadBox, Verse Digital GmbH, and their respective affiliates, subsidiaries, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your access to or use of the Platform;
• Your violation of these Terms or any applicable law, rule, or regulation;
• Your violation of any rights of a third party, including intellectual property rights or privacy rights;
• Any content or information you submit, post, or transmit through the Platform;
• Your negligent or willful misconduct.

HeadBox reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims. You agree not to settle any matter without the prior written consent of HeadBox.

HeadBox reserves the right to suspend, restrict, or terminate your account and access to the Platform at any time, with or without notice, for any reason at its sole discretion, including but not limited to:

• Actual or suspected violation of these Terms or any supplemental policies;
• Fraudulent, abusive, or otherwise illegal activity;
• Requests by law enforcement or other government agencies;
• Discontinuation or material modification of the Platform;
• Unexpected technical or security issues or problems;
• Extended periods of account inactivity.

Upon termination, your right to access and use the Platform will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

HeadBox shall not be liable to you or any third party for any suspension or termination of your access to the Platform, or for the loss of any account data or in-game progress resulting from it.

You may terminate your account at any time by contacting HeadBox support. Termination does not relieve you of any obligations or liabilities that arose prior to termination.

If a dispute arises out of these Terms or your use of the Platform ("Dispute"), please first contact HeadBox using the details in Section 15 so we can try to resolve it informally. HeadBox will make reasonable efforts to respond within 30 days of written notice.

If the Dispute cannot be resolved informally within 30 days, the parties agree to submit the Dispute to binding arbitration administered by a recognized arbitration body in accordance with the governing law set out in Section 13. The arbitration shall be conducted in the English language. The arbitrator's decision shall be final and binding, subject to limited rights of appeal as provided under applicable arbitration rules.

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to protect its intellectual property rights or confidential information pending the outcome of arbitration.

CLASS ACTION WAIVER: To the extent permitted by applicable law, you agree that any Dispute shall be resolved on an individual basis only, and not as a class, collective, consolidated, or representative action. You hereby waive your right to participate in any class action lawsuit or class-wide arbitration.

These Terms, and any Dispute arising from them or the Platform, are governed by the laws of the Federal Republic of Germany, without regard to its conflict of law provisions. Proceedings not subject to arbitration under Section 12 shall be brought exclusively in the competent courts of Germany.

If you access the Platform from outside Germany, you are responsible for complying with local law. HeadBox makes no representation that the Platform is appropriate or lawful in every location, and access from territories where it would be unlawful is prohibited.

HeadBox reserves the right to revise and update these Terms at any time in its sole discretion. All changes are effective immediately upon posting and apply to all access to and use of the Platform thereafter. Your continued use of the Platform following the posting of revised Terms means you accept and agree to the changes.

For material changes, HeadBox will make reasonable efforts to give advance notice — a notice on the Platform, an email to your registered address, or other reasonable means. Please review these Terms from time to time.

If you do not agree to any updated Terms, you must stop using the Platform immediately and may terminate your account in accordance with Section 11.
